The Constitution of PALS

1. The name
The name of the association shall be: The Professional Association of Legal Services (referred to in this constitution as PALS)

2. Established
PALS was established on 1st August 2002

3. Objectives
To ensure continuity of service to the clients of its members
To provide a forum for the exchange of non-competitive information

4. Membership qualification
Membership of PALS is available to those within the Legal Services industry who meet the entrance criteria. The executive committee must approve new members.

5. Finances
The financial year of PALS is 1 May to 30 April. This may be changed by resolution of the Executive committee
Members shall pay an annual subscription fixed by the Executive Committee

6. Meetings
A meeting of the executive committee will be held during the month of September. In convening any further meeting the secretary shall give not less than 21 days notice to members.Minutes of all meetings will be distributed to all members.

7. Executive Committee
An Executive Committee comprising of a minimum of two and a maximum of ten members shall direct the affairs of PALS.The Executive Committee shall at the annual meeting each financial year elect a President to hold office until the next annual meeting. The Executive Committee shall also elect a Secretary. In the event of the President or the Secretary resigning or ceasing to be a member of the Executive Committee, the Committee shall elect a replacement to serve for the remainder of the term.

8. Revision of the Constitution
This constitution may be amended by PALS provided that at least 75% of the Executive Committee of PALS vote in favour of amendments of which prior notice has been given.

9. Functions of Association
In the event of any member being unable to service its clients due to retirement, ill health, insolvency or any other reason, the other members will take over the responsibility of delivering the service or services.

10A. Liability
Members will NOT take over the professional liability for services delivered by their fellow members.
       Thus liability for any:
       Errors
       Omissions
       Negligent / inappropriate advice
       Any other action that may prejudice the client and / or his estate
       Debts of the member
      shall remain with the original member

Members shall be responsible for arranging suitable insurance cover for all liabilities in relation to their business.

10B. Services
PALS shall not cover:
       Fully pre paid Probate Services
       Fully pre paid Estate Administration
